The following are the Terms and Conditions for use (the "Terms") of the compaxit.com web site which is operated by Compaxit Limited (hereinafter collectively referred to as "Compaxit"). Please read the Terms and Conditions carefully.

1. Acceptance

1.1. By using the services of Compaxit (as defined below), you are deemed to accept the validity of and be bound by the Terms and Conditions as herein stated without modification.

2. Nature of the Service

2.1. Compaxit is not a legal firm and does not provide legal advice (as defined below). Your use of the Compaxit web site and / or any of the services it provides does not create a solicitor-client relationship between you and Compaxit.

3. Legal Advice, Information and Decision-Making Responsibility

3.1. You agree that all decisions you make on legal matters are your full responsibility.

3.2. You agree that Compaxit does not provide legal advice. If you receive any communication from Compaxit, its agents, its employees or any other associated entity, which is (or can be construed as) legal advice, you agree that it is not a communication authorised by Compaxit and you agree to immediately delete and disregard it.

3.3. Except as expressly provided in these Terms and Conditions, you agree to accept full responsibility for determining the value of and for any use you make of Compaxit, and for obtaining any professional legal assistance to assess the value of and appropriate uses for any Compaxit services.

3.4. For the purposes of these Terms and Conditions, 'legal advice' is defined to include the following:

3.4.1. any legal related communication, work or service which, under UK governing law, is only allowed to be performed by or under the supervision of a properly licensed legal firm;

3.4.2. advice related to your specific legal or fact situation;

3.4.3.advice on which legal document or documents you need or are best for your situation;

3.4.4. advice applying the law or drawing any legal conclusions;

3.4.5.determining the legal consequences that will or could result from how you have created your legal document(s);

3.4.6. whether you have included innappropriate, conflicting, or ambiguous information in your legal document(s);

3.4.7. whether you have omitted any necessary provisions or details from your legal document(s); and

3.4.8. whether you require any additional legal document(s) or legal procedures.

4. Use of CompaxIT documentation

4.1. You agree not to use any Compaxit documentation for any purpose which is against any law or for any purpose which would not give full effect to the Terms and Conditions even if that purpose is otherwise allowed under the Terms of this Agreement.

4.2. You may view the Compaxit web site using a web browser for evaluation purposes as a potential customer.

4.3. 'Final Documentation' is defined as the finished corporate document created through the use of the Compaxit web site.

4. User licences

5.1. The purchase of a license entitles you to:

5.1.1. use Final Documentation for products for which the license is purchased for the time period specified for unlimited transactions in which you are a party to the transaction;

5.1.2. make unlimited electronic back up copies and unlimited mechanical copies (e.g. photocopies or scans) for all Final Documentation that are for your use only;

5.2. Compaxit retains the right to cancel any license at any time, in which case you will only be charged for the time in which the license was in effect. Compaxit retains the right to change license prices.

6. Restrictions

6.1. To the maximum extent allowable under applicable law, exept as explicitly identified in these Terms and Conditions, you agree not to publish, re-publish, lend, license or sub-license, give away, look at or in any way modify the site source code, post to an internet web site, or use in an automated system produced or used by Compaxit, nor will you allow or assist a third party to do so.

6.2. If you are an organisation, the purchase of a license allows one individual within your organisation to exercise the rights granted under these Terms and Conditions. If multiple individuals within your organisation require access, a license must be purchased for each individual. The appointed individual may not be changed.

6.3. Compaxit retains the the discretionary right to prohibit organisations, groups, or individuals from using its web site.

7. Assignment

7.1. This Agreement cannot be assigned.

8. Ownership of Intellectual Property

8.1. Compaxit does not transfer to you title or any copy, or original, of the documents or any other Compaxit documentation. All ownership, copyright and other intellectual property rights to any Compaxit documentation belongs solely to Compaxit and its suppliers except as expressly licensed in these Terms and Conditions.

8.2. Without reducing or restricting any other remedies that Compaxit may be entitled to, you agree that, to the extent allowable under applicable law, any automated system using any Compaxit material or services will be the property of Compaxit.

9. Limited warranties

9.1. Except as expressly provided in these Terms and Conditions, to the maximum extent permitted under applicable law, Compaxit automated documentation is provided "as is" without any kind of warranty.

9.2. You accept full responsibility for determining whether Compaxit documentation is suitable for any particular purpose and for protecting yourself against any possible consequential damages.

9.3. Except as expressly provided in these Terms and Conditions, Compaxit is not responsible for any loss, injury, claim, liability, damage or consequential damage related to your use of any Compaxit documentation, or for inaccessibility of Compaxit documentation whether from errors or missions in the content of Compaxit documentation or any other linked web sites or for any other reason. Use of the Compaxit web site is at your own risk.

9.4. Compaxit does not represent or warrant that www.compaxit.com, its server or any linked sites are free from harmful materials.

10. Maximum Liability

10.1. Except as expressly provided in these Terms and Conditions, the maximum liability of Compaxit is the amount paid to Compaxit by the user.

11. Terms

11.1. All of the Terms and Conditions are valid regardless of the heading. To the maximum extent possible under law, the Terms and Condtions take precedence over any conflicting Compaxit information.

12. Indemnification

12.1. The user agrees to indemnify and hold Compaxit, its directors, officers and employees, harmless from any claim, demand, or damage, including legal fees, asserted by any third party due to or arising out of the user's use of the Compaxit web site.

13. Modification to Terms and Conditions

13.1. Compaxit reserves the right the right to change the Terms and Conditions or policies regarding the use of the Compaxit web site at any time and to notify the user by updating the web site.

14. Severability

14.1. The invalidity or unenforceability of any provision of these Terms and Conditions or the web site's disclaimer will not affect the validity or enforceability of any other provision of these Terms and Conditions or the web site's disclaimer and such invalid provision will be deemed to be severable.

15. Whole Agreement

15.1. These Terms and Conditions and the web site's disclaimer constitute the whole agreement between you and Compaxit.

16. Waivers

16.1. No failure or delay on the part of Compaxit in exercising any right or power under these Terms and Conditions will operate as a waiver of such right or power.

17. Governing Law

17.1. By agreeing to these Terms and Conditions your statutory rights are not affected. Compaxit reserves the right to change or modify any of the Terms and Conditions contained in the Terms and Conditions.

17.2. These Terms and Conditions and all other express terms of contract shall be governed and construed in accordance with the laws of England.

17.3. In the event any one or more of the provisions of these Terms and Conditions shall be held to be invalid, illegal or unenforceable, the remaining Terms and Conditions shall be unimpaired and the Terms and Conditions shall not be void for this reason alone. Such invalid, illegal or unenforceable provision shall be replaced by a mutually acceptable valid, legal and enforceable provision whch comes closest to the intention of the parties underlying the invalid, illegal or unenforceable provision.
